1. Introduction
This document outlines the Terms and Conditions (“Terms”) and Privacy Policy (“Policy”) governing your use of the WordsmithDirect website (“Site”) and any services provided by Brian Pollard, operating as WordsmithDirect (“WordsmithDirect”, “we”, “us”, or “our”). 2. Terms of Service
2.1 Service Scope
WordsmithDirect provides professional copywriting and marketing strategy services, primarily for the FinTech and Health & Wellness industries. Our services are limited to the deliverables outlined in your specific project proposal or agreement. We do not provide legal, financial, medical, or other professional advice.
2.2 Client Responsibilities
As a client, you are responsible for:
- Providing accurate, complete, and timely information required for project completion.
- Thoroughly reviewing all drafts and final deliverables.
- Ensuring compliance of the final copy with all applicable laws, regulations, and industry standards (e.g., FTC, FDA, SEC, HIPAA).
- Obtaining necessary legal and compliance approvals before publishing any content provided by WordsmithDirect.
- Properly implementing the copy on your chosen platforms.
2.3 Payment Terms
Payment terms will be specified in your individual project proposal. Typically, full payment is required upfront to commence work, or a 60% upfront payment for larger projects with the remaining 40% due before final delivery. Projects will not begin until the initial payment has cleared. All payments are non-refundable once work has commenced, except as explicitly stated in your project agreement.
2.4 Revisions and Project Scope
The number of revision rounds will be outlined in your project proposal. Revisions are intended for refining the delivered copy to meet the agreed-upon scope and strategy. Significant changes to the project scope requested by the client after work has begun may incur additional fees or require a new proposal.
2.5 Intellectual Property
Upon full and final payment, all intellectual property rights for the copy explicitly developed for your project will transfer to you. WordsmithDirect retains the right to use portions of the delivered copy for portfolio and promotional purposes, unless a specific Non-Disclosure Agreement (NDA) is in place.
2.6 Limitation of Liability
WordsmithDirect (including Brian Pollard) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use or alteration of your transmissions or content. In no event shall our aggregate liability for all claims relating to the services exceed the amount paid by you to WordsmithDirect for the specific services in question.
2.7 Indemnification
You agree to defend, indemnify, and hold harmless WordsmithDirect and Brian Pollard from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Site and services, or your violation of these Terms.
